Terms of Service

By accessing or using the Alchemiq platform (located at app.alchemiqai.com), the Alchemiq website (alchemiq.ai), or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Alchemiq Ltd. ("Alchemiq," "we," "our," or "us").

If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree to these Terms, you may not access or use our Services.

To use the Alchemiq platform, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding agreement
• Be authorized by your organization to use the Services if accessing on behalf of an entity
• Provide accurate and complete information during account registration

You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account. You must notify us immediately at support@alchemiq.ai if you become aware of any unauthorized access or security breach involving your account.

We reserve the right to disable accounts that violate these Terms or that remain inactive for extended periods, with reasonable prior notice where practicable.

Subject to these Terms and your applicable service agreement, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Alchemiq platform for your organization's internal editorial and publishing operations.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with reasonable notice where practicable. We are not liable for any modification, suspension, or discontinuance of the Services.

Platform availability is provided on a commercially reasonable basis. While we strive for high uptime, we do not guarantee uninterrupted access and scheduled maintenance windows may occur.

As a user of the Alchemiq platform, you agree to:

• Use the Services only for lawful purposes consistent with these Terms
• Maintain the security of your account credentials
• Review all AI-generated content before publication or distribution
• Ensure editorial accuracy and compliance with applicable laws before publishing content
• Respect intellectual property rights when using ingested news content
• Comply with all applicable data protection and privacy laws in your jurisdiction
• Report any platform vulnerabilities or security issues to us promptly

You may not use the Alchemiq platform to:

• Generate, distribute, or publish deliberately false or misleading information
• Violate any applicable law, regulation, or third-party rights
• Attempt to gain unauthorized access to our systems, other user accounts, or data
• Interfere with or disrupt the platform's infrastructure or other users' access
• Reverse engineer, decompile, or extract source code from our platform
• Use automated tools to scrape, crawl, or extract data from the platform beyond normal API usage
• Resell, sublicense, or redistribute platform access without our written consent
• Use the platform to generate content that promotes violence, hatred, or discrimination
• Circumvent usage limits, access controls, or security measures

Violation of these restrictions may result in immediate suspension or termination of your account without prior notice.

Our intellectual property. The Alchemiq platform, including its software, design, algorithms, documentation, trademarks, and all related intellectual property, is owned by Alchemiq Ltd. and is protected by applicable intellectual property laws. Nothing in these Terms grants you any ownership interest in our platform or technology.

Your content. You retain ownership of original content that you upload or create within the platform. By using the Services, you grant us a limited license to process, store, and transmit your content as necessary to operate the platform and deliver the Services.

AI-generated output. Ownership and usage rights to content generated through the platform are governed by your service agreement with Alchemiq. In the absence of a specific agreement, AI-generated outputs created through your use of the platform may be used by you in accordance with these Terms, subject to the disclaimers below.

The Alchemiq platform uses artificial intelligence to generate news briefs, summaries, translations, social media posts, and other editorial content. You acknowledge and agree that:

• AI outputs may contain inaccuracies. Despite our efforts to ensure quality, AI-generated content may contain factual errors, outdated information, misattributions, or contextual inaccuracies. AI technology is inherently probabilistic and may produce unexpected or incorrect results.
• You remain responsible for review and publication decisions. All AI-generated content is provided as editorial assistance. You and your editorial team are solely responsible for reviewing, verifying, editing, and approving any content before publication or distribution.
• Generated content is not professional advice. AI-generated content should not be treated as legal, medical, financial, or other professional advice. It is intended solely as editorial material for journalistic purposes.
• Multiple AI providers may be used. Alchemiq may use multiple AI providers (including Google Gemini, OpenAI, and Anthropic) to generate content. The specific provider used may vary based on task requirements, availability, and performance considerations.
• No guarantee of uniqueness. AI-generated content may be similar to content generated for other users or content that exists elsewhere. We do not guarantee that outputs will be unique or free from similarity to other published works.

Alchemiq provides AI-powered editorial tools designed to assist publishers. While our platform incorporates fact-checking mechanisms and human editorial oversight in our production processes:

• We do not guarantee the accuracy, completeness, or timeliness of any content generated or surfaced through the platform
• You are responsible for your own editorial standards and fact-checking before publication
• Published content reflects your editorial decisions, not ours
• We are not responsible for claims, damages, or liabilities arising from content you choose to publish

The Alchemiq platform is a tool to support your editorial workflow. Final publication decisions, including accuracy verification, legal compliance, and editorial judgment, remain your responsibility.

Certain platform features create publicly accessible content:

• Public story pages are accessible to anyone via their URLs and may be indexed by search engines
• Suggestion review pages shared with external reviewers are accessible via unique links
• Content published through CMS integrations becomes publicly available on the destination platform
• Social media posts published through the platform are governed by the respective social platform's terms

You are responsible for ensuring that content you choose to make public complies with all applicable laws, does not infringe third-party rights, and meets your organization's editorial standards.

The Alchemiq platform integrates with various third-party services including CMS platforms, social media networks, AI providers, authentication providers, and analytics tools. You acknowledge that:

• Third-party services are governed by their own terms of service and privacy policies
• We are not responsible for the availability, accuracy, or conduct of third-party services
• Your use of third-party integrations may be subject to additional terms
• Data shared with third-party services through integrations you configure is subject to those services' data practices

We do not endorse or assume liability for any third-party services accessible through the platform.

Access to the Alchemiq platform is provided under a service agreement between Alchemiq and your organization. The specific terms of your subscription, including pricing, payment terms, and service levels, are set forth in your individual service agreement or order form.

Where applicable:

• Fees are billed in accordance with the terms specified in your service agreement
• We may adjust pricing with reasonable advance notice as specified in your agreement
• Late payments may result in suspension of service access
• Revenue-share arrangements, where applicable, are governed by your specific agreement terms

Termination by you. You may stop using the Services and request account closure at any time by contacting us. Termination does not relieve you of obligations incurred prior to termination.

Termination or suspension by us. We may suspend or terminate your access to the Services if:

• You breach these Terms or your service agreement
• Your use poses a security risk to the platform or other users
• We are required to do so by law or legal process
• Your account has been inactive for an extended period
• Your organization fails to meet its payment obligations

Where practicable, we will provide notice before termination and an opportunity to export your data. Upon termination, your right to access the platform ceases, though certain provisions of these Terms survive (including intellectual property, limitation of liability, and indemnification).

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALCHEMIQ DISCLAIMS ALL WARRANTIES INCLUDING:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Any warranty that the Services will be uninterrupted, error-free, or secure
• Any warranty regarding the accuracy, reliability, or completeness of AI-generated content
• Any warranty regarding the results obtained from using the Services

You use the Services at your own risk. No advice or information obtained from Alchemiq or through the Services creates any warranty not expressly stated in these Terms.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• Alchemiq shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, regardless of the theory of liability.
• Alchemiq shall not be liable for any damages arising from content generated, published, or distributed through the platform, including claims of defamation, copyright infringement, or factual inaccuracy.
• Our total aggregate liability for all claims arising under or related to these Terms shall not exceed the greater of (a) the amounts paid by your organization to Alchemiq in the twelve (12) months preceding the claim, or (b) one hundred US dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

You agree to indemnify, defend, and hold harmless Alchemiq, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to:

• Your use of the Services in violation of these Terms
• Content you publish or distribute using the platform
• Your violation of any third-party rights
• Your violation of any applicable law or regulation
• Any claim by a third party related to content you chose to publish through the platform

These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Tel Aviv-Jaffa, Israel.

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.

We may revise these Terms from time to time. When we make material changes, we will:

• Update the "Last updated" date at the top of this page
• Notify active platform users via email or in-platform notification
• Provide at least 30 days' notice before material changes take effect

Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services.
